1. Who is making this agreement
This agreement is between you, the seller, and TUNARY INSTRUMENTS PTE. LTD. (Tunary, we or us). Our company number is UEN 202637187M. Our registered address is 1 Phillip Street, #03-02, Royal One Phillip, Singapore 048692.
You must be at least 18 and legally able to make this agreement. If you act for a business, you must have permission to agree for that business. Use your own verified Tunary account and correct billing details.
These rules cover selling creations made in Tunary Creator. They apply alongside the Creator account terms and the website terms, privacy policy and software licence linked below. If the documents disagree about Creator subscriptions, delivery or licence checks, these selling rules apply. They do not change the rules for separately bought Tunary products such as ARGISH, SILT or REHEAT.
Read the whole agreement before subscribing. You must tick the agreement box yourself. A subscription gives selling permission only after your payment and account have been checked.
2. What you and your customers get
A creation is an instrument or audio effect you save in Tunary Creator. An instrument makes sound. An effect changes sound. A released version is the saved version you send through Tunary for people to use. A licence is permission to use a creation; it does not mean owning Tunary’s software.
Buyers open your creations inside the shared Tunary players. Tunary Instrument plays instruments. Tunary Player runs audio effects. Tunary Library connects their account and brings their purchases to their computer. Buyers see your creation’s name and permitted artwork inside the player. Each creation is not a separate VST3 or Audio Unit plugin installer.
You do not need a selling subscription just to make, perform, record, release or sell music with your valid personal creations. You still need the rights to any material you add. Selling or giving other people copies of the instrument or effect itself requires the selling permission in this agreement. Sharing your account is not allowed.
3. What your subscription includes
While your paid subscription is active and verified, you may sell your eligible creations through your own store. You choose the price. You can turn on selling for each eligible creation and make private buyer access codes. One subscription covers eligible creations on your subscribing account.
You can replace the Tunary label on your creation’s front panel with your brand and use pictures you have permission to use. Custom panel images are included while you subscribe. The shared Tunary apps, licence protections and legal notices keep their Tunary name. You cannot claim that you own or made Tunary’s underlying software.
Tunary provides the supported players, account delivery and licence checks. You run your store and support your products and customers. We do not promise sales, income, promotion, a marketplace listing, an exclusive preset, a separate plugin program or support for every computer and music app.
4. What you pay
The monthly plan costs US$30 each month. The yearly plan costs US$300 in one payment each year. Both renew automatically until you cancel. The yearly plan works out to US$25 a month, but you pay US$300 at once. These payments buy a subscription, not credits. Checkout shows any tax and the final total.
Before checkout, choose your plan, read these terms and tick the agreement box. It is not pre-ticked. We record your account, the agreement version, a digital fingerprint of its exact text, your selected plan and price, and the time you agree. Opening checkout does not start selling permission. The payment service must confirm your paid subscription.
Credits are separate. Unlock each creation for 200 credits and send a released version to Tunary before delivering it to buyers. Later manual edits, saves and personal downloads of that same creation are included. AI help costs 5 credits per completed request. MIDI output and tempo sync cost 30 credits together, once per creation.
Custom panel pictures cost 50 credits once per creation, including future picture changes. They are also included while your selling subscription is active. When your subscription ends, your existing released personal copies keep their pictures. A separately purchased image upgrade remains yours.
A buyer who uses your access code does not pay another 200-credit unlock or need a selling subscription. They pay the price in your store. Your store or payment service may charge fees and taxes. Do not tell buyers that the subscription includes credits or every upgrade.
Gumroad handles your subscription payment under its checkout terms. Use your Tunary account email. We do not receive your full card details. A test payment, unpaid trial, failed payment, refunded payment or reversed payment does not give continuing selling permission.
5. How to cancel and handle payment problems
To stop renewal, open Manage membership in your Gumroad receipt or membership account. Cancel before the next renewal is processed and keep the confirmation. Deleting a creation, closing Tunary or turning off selling does not cancel payment. If you cannot cancel, contact Tunary using the contact details on our linked legal page.
Normal cancellation stops the next payment. You can keep selling until the period you already paid for ends. Cancellation does not automatically refund that paid period. Any applicable Tunary refund guarantee, checkout refund policy and refund or cancellation rights required by law still apply.
New selling and activation may stop if your paid period ends, renewal fails, payment is refunded or reversed, or a payment dispute is confirmed. There is no promised unpaid grace period. If the status is wrong, contact us with your receipt. We will check it and restore permission when payment is verified. Do not take orders you cannot deliver.
We will tell you about material price changes before they apply and ask for agreement where required. We will not change the price of a period you already paid for. You can cancel renewal if you do not want the new price.
6. Which creations you can sell
You must have the rights to the creation and everything you add. Unlock it, send the version you want to sell to Tunary, and turn on Sell this creation. Your subscription must be active when you make a buyer code and when that buyer first activates it. You cannot save up codes to keep selling after your subscription ends.
You may sell eligible Creator creations made with built-in parts through Tunary’s protected delivery process. You may not extract or resell Tunary’s engine, source code, individual factory assets or other Tunary products. Do not copy another maker’s product or claim that shared presets and built-in parts belong only to you.
Check the rights to samples, recordings, pictures, names and brands you add. Permission for personal use is not enough if you plan to include the material in something you sell. AI does not guarantee that its output is original, protected by copyright or free of other people’s rights. Check its work. We may ask for reasonable proof of permission.
7. How to make and deliver a sale
First, make and test your creation. Check that it works with the supported computer and player versions you will advertise. Unlock it and send the version you want buyers to receive to Tunary. Start your subscription, turn on Sell this creation and add your branding if you want it.
List the creation in your own store. Include the information in section 8 before asking anyone to pay. After your store confirms payment, ask for the email the buyer uses for their verified Tunary account.
Open Sell your plugin. Choose the creation and make an access code for that buyer’s email. Send the code privately with the installation guide. You create and send codes yourself; taking payment in an outside shop does not automatically deliver a Tunary code. Do not post codes in a public download or share your password.
The buyer signs in to their own account, opens Sell your plugin → Add a purchased creation and enters the code. They install Tunary once and connect Library. Their creation arrives in Library. In their music app, they open Tunary Instrument or Tunary Player and choose it by name.
A code works for one buyer account with the named email. Its licence records the delivered version. Do not promise a separate plugin installer, unlimited transfers or automatic future versions. If you promise updates or support, you must provide them using a supported method.
You check outside payments, send order messages, calculate any sales taxes and handle customer refunds. Tunary does not run those parts of your store.
8. Your duties to buyers
Before payment, clearly say that your creation needs the free Tunary players and a verified Tunary account. List the computers, operating systems, music apps and plugin formats you tested. Explain that buyers need internet access for setup and occasional licence checks. Say that your creation opens inside a shared player.
Give your seller identity, support contact, full price including applicable taxes, what the buyer gets and when, refund and cancellation rights, and any update promise. Explain account and computer limits and the activation rules. Link the Tunary installation guide and customer software terms. Only advertise compatibility you have checked.
You are responsible for honest advertising, permission to use content, collecting payments, invoices, taxes, support, refunds and the duties consumer law places on your sale. This agreement does not remove buyers’ rights against you.
Get the buyer’s permission to give Tunary their account email for delivery. Use it for delivery and support. Do not add it to a marketing list without the separate permission required by law.
Stop taking orders and remove or disable your listings before your selling permission ends. Deliver outstanding orders and arrange activation while you still have permission. Otherwise renew or refund buyers you cannot serve. Tunary cannot close your outside store or stop its checkout. You must not keep taking money for copies that cannot be activated.
9. What happens when your subscription ends
When your paid selling period ends, or selling permission otherwise becomes inactive under these rules, Tunary blocks new buyer codes and first activations. Turning on a product’s selling switch cannot bypass the check. Turning that switch off also stops new codes and first activations.
An unused code cannot first activate while your subscription is inactive or the product is switched off. The buyer should contact you. Renew and enable the product to deliver a valid outstanding order, or refund it. Renewing does not restore a refunded, withdrawn or separately revoked licence.
Buyers who already activated a valid purchase keep the right to use that version when your subscription ends. Their licences can still renew through Tunary while their own accounts and licences remain valid. We do not cancel an existing buyer’s purchase just because the maker stopped subscribing.
You can still use your own saved creations under your valid personal licences. Your recorded music is not deleted, and Tunary does not take ownership of it. An update does not silently replace the version saved in an existing music project.
Tunary does not remotely delete files, remove outside shop listings or recover every copy already shared. No protection can stop all unauthorised copying. Our checks control permission in the supported players. You must also stop offering new copies in every store or channel you use.
10. Accounts, computers and offline use
Each person needs their own verified account. A licence links their creation version to that account and a registered computer. One account can connect up to three computers. Do not share passwords, sell account access, fake licences or bypass the checks. Copying a creation file to a different account or computer does not give it permission to play.
You can work offline for up to 30 days after a successful licence renewal, unless your licence or computer permission expires sooner. Open Library while online before that time runs out. An expired or revoked licence can stop sound until a valid licence is restored. Saved project data is kept. Check access before an offline performance and keep recorded audio backups.
Tunary checks selling permission when someone requests a new code or first activation. We check the payment service’s records. A saved permission check lasts at most 15 minutes without a fresh check, and stops at a known expiry time. Payment notifications and scheduled checks also help keep the records current. A payment-service outage can temporarily block selling until we can verify it.
A payment change may take a short time to reach us. A known end date is enforced at that time; an unexpected change can take the short check interval to arrive. A computer that is offline cannot receive an immediate cancellation. If an individual buyer licence is separately revoked for a valid reason, an offline copy may work until its signed permission expires. This is different from stopping new sales.
11. When we may restrict access
We may restrict a product, selling account or individual buyer licence when reasonably needed to deal with unpaid or reversed payments, credible rights complaints, fraud, a stolen account, unlawful content, bypassed protection or a serious breach of these rules. Where practical, we will explain why and give you a reasonable chance to respond or fix it. Urgent security, fraud or legal risks may require immediate action.
Cancelling a maker’s subscription is not the same as cancelling a buyer’s licence. Refunding someone in your store does not automatically cancel their Tunary access. Contact us with the relevant order and licence details if access needs review. Any restriction must have a lawful, recorded reason and respect the buyer’s rights.
We will review disputes fairly and remove restrictions when the reason is resolved. Restrictions should match the problem. Suspending access does not by itself cancel recurring billing; cancel renewal if you do not want it to continue. We cannot keep money that the law requires us to refund.
12. Your work, our software and personal information
You keep the rights you own in your original contributions. Tunary keeps its software, engine, factory content, service and brands. Using Creator or subscribing does not transfer ownership of those things.
You give Tunary permission to store, process, protect, back up, display and deliver your creation and chosen branding to you and properly licensed buyers. This permission is not exclusive: you keep your own rights. It includes continuing to serve valid buyers after your subscription ends.
Only use another person’s name, image, brand or work when you have the necessary permission. Do not suggest that Tunary or anyone else endorses your product without approval. You may truthfully say it works with the Tunary players.
We use account details, verified emails, creations and versions, payment references, agreement records, buyer delivery records and computer identifiers to run and protect the service. Creator makes occasional licence checks; descriptions of one-time activation for other Tunary products do not apply to Creator. Payment services handle card details. Our linked Privacy Policy and account terms explain providers, rights and contact details.
Only share personal information you have permission to provide. Use buyer details for lawful delivery and support unless you have separate permission for another use. Tell us promptly if an account or code may be stolen. Never put passwords or full card details in support messages.
13. Compatibility, updates and support
Check the current installation requirements and test your creation before advertising it for a computer or music app. Do not promise support for a platform or feature based on an assumption. Tell buyers exactly what you tested.
You help buyers with your product and shop. Tunary helps with its account, player and delivery services. We may update the apps for security, compatibility or maintenance. We will take reasonable care to preserve saved project versions and give reasonable notice of major compatibility changes where practical. Keep your own backups.
We do not promise a service that never stops or support for every operating-system version forever. If we end delivery or activation services, we will give reasonable advance notice where practical and make reasonable efforts to offer a lawful way to keep using or move valid purchases. Required refunds and other legal remedies still apply. Do not promise lifetime use with no internet checks.
14. Who is responsible if something goes wrong
You promise that you can make this agreement, have the rights to what you add, and will advertise and deliver products lawfully and honestly. We will provide our services with reasonable care and skill. We do not promise a particular income, creative result, compatibility with everything or perfect protection against copying.
Where the law allows, neither of us must pay the other for indirect losses or lost profits caused by this agreement. Except for the cases in the next paragraph, the most either party must pay the other under this seller agreement is the subscription fees you paid or owed for the 12 months before the event that caused the claim. Credit purchases and separate consumer remedies follow their own terms.
These limits do not cover fraud, deliberate wrongdoing, misuse of the other party’s rights in software, artwork or other creative work, or death or injury caused by negligence where the law does not allow a limit. They do not remove any liability or consumer guarantee the law protects. You still owe any amounts lawfully due to your customers and remain responsible for rights in the material you supply. Tunary is not responsible for promises you make without our permission.
If someone claims that your material breaks their rights, or that your unlawful selling caused harm, you must help investigate and resolve the claim promptly. You are responsible for reasonable losses and costs to the extent your conduct caused them and the law establishes your responsibility. We must tell you promptly, take reasonable steps to reduce the loss, and get your agreement before a settlement puts duties on you. You must not unreasonably refuse that agreement. You are not responsible for Tunary’s own fault.
15. Changes, disputes and ending this agreement
We keep an identifiable copy of the version you accepted. We will tell you about material changes before they apply. Important changes to selling permission or recurring payments need fresh notice and agreement where appropriate or required by law. Changes do not erase valid earlier buyer purchases. Small corrections do not change a paid price or grant new selling rights.
You can stop selling and cancel renewal. We may end selling permission for a serious breach, or a major breach you do not fix after reasonable notice where practical. We may act immediately if continuing would be unlawful or create an urgent serious risk. Duties that still need to be completed remain: payments and refunds, buyer delivery, content rights, lawful record keeping, responsibility for losses and dispute rights.
Singapore law applies, and Singapore courts handle disputes, except where mandatory law gives you other rights or the right to use another court. You can contact us first to try to solve a problem. You do not have to do that before using your legal rights. Nothing here removes consumer rights that the law protects.
If a court cannot enforce one rule, the others continue where possible. Waiting to enforce a rule does not give it up. You cannot transfer your subscription or selling account without our written permission. We may transfer the service with a business sale while keeping your contractual protections. Being mentioned here does not give another person the right to enforce this seller agreement. Buyers keep their separate licence and legal rights.
